1. Agreement to Terms

These Terms of Service constitute a legally binding agreement made between you, whether personally or on behalf of an entity (“you”) and Talgrid Tech Private Limited (“Company”, “we”, “us”, or “our”), concerning your access to and use of the vHire website and application. By accessing the service, you agree that you have read, understood, and agreed to be bound by all of these Terms of Service.

2. User Eligibility

The Service is intended for users who are at least 18 years old. Persons who are under the age of 18 are not permitted to use or register for the Service.

3. Platform Role (Intermediary Status)

vHire acts as an intermediary platform connecting job seekers (“Candidates”) with employers/recruiters (“Employers”).

  • We are not an employer and are not responsible for any employment decisions made by any entity posting jobs on the Service.
  • We do not guarantee that any Candidate will be interviewed or hired, or that any open position will be filled.
  • We are not a party to any agreement between a Candidate and an Employer.
  • We assume no liability for any interactions, communications, meetings, interviews, negotiations, disputes, or outcomes that occur between Candidates and Employers/Recruiters, whether conducted through the platform or outside of it.
  • Any employment relationship, contract, or agreement formed between Candidates and Employers is solely between those parties. vHire is not responsible for verifying the legitimacy, accuracy, or completeness of job postings or candidate information.

4. Skill Assessments & Proctoring (Vault)

Our Vault feature provides proctored skill assessments. By using Vault, you agree to:

  • Camera & Screen Access: Allow webcam, microphone, and screen monitoring during proctored sessions for identity verification and integrity monitoring.
  • AI Proctoring: Accept that AI-powered systems will analyze your behavior during assessments to detect potential violations.
  • Assessment Integrity: Complete assessments honestly without external assistance, unless explicitly permitted. Violations may result in disqualification and account termination.
  • Results Sharing: Assessment results and verification badges may be shared with Employers you apply to or who view your profile.

Assessment scores and badges are based on AI evaluation and may not reflect absolute skill levels. Employers make independent hiring decisions.

5. Data Sharing with Employers

By using vHire as a Candidate, you acknowledge and consent to:

  • Sharing your contact information (name, email, phone number, WhatsApp) with Employers when you apply for jobs or make your profile visible.
  • Sharing your location information (city, state, country) with Employers for job matching and consideration purposes.
  • Sharing your skill assessment results, verification badges, and professional credentials with Employers.
  • Allowing Employers to contact you directly using the information provided on your profile.

6. Background Verification Services

vHire may facilitate background verification through third-party providers. By consenting to background checks:

  • You authorize third-party verification agencies to access and verify your identity, employment history, education, and other relevant records.
  • You understand that verification results will be shared with the requesting Employer.
  • vHire is not responsible for the accuracy, completeness, or timeliness of third-party verification reports.
  • Any disputes regarding verification results should be directed to the verification provider.

7. Prohibited Activities

You may not access or use the Service for any purpose other than that for which we make the Service available. Prohibited activities include, but are not limited to:

  • Systematically retrieving data or other content from the Service to create or compile, directly or indirectly, a collection, compilation, database, or directory without written permission from us (Web Scraping).
  • Using the Service to advertise or offer to sell goods and services unrelated to employment.
  • Cheating, using unauthorized assistance, or attempting to manipulate skill assessments.
  • Impersonating another person during assessments or on your profile.
  • Posting discriminatory, harassing, or fraudulent content.
  • Circumventing or disabling proctoring mechanisms.

8. Account Termination

We may terminate or suspend your account and bar access to the Service immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever and without limitation, including but not limited to a breach of the Terms, assessment integrity violations, or fraudulent activity.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. WE EXPRESSLY DISCLAIM ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

  • The accuracy, reliability, or completeness of any information, assessment results, or skill verification provided through the Service.
  • The suitability of any Candidate for any position or any Employer for any Candidate.
  • The outcome of any interview, hiring decision, or employment relationship.
  • The conduct, behavior, or representations of any user (Candidate or Employer) on or off the platform.

10. Limitation of Liability

IMPORTANT: Please read this section carefully.

To the maximum extent permitted by applicable law:

  • No Liability for Third-Party Interactions: Talgrid Tech Private Limited shall have NO LIABILITY WHATSOEVER for any disputes, claims, damages, losses, or harm arising from interactions between Candidates and Employers/Recruiters, whether such interactions occur on or off the platform.
  • No Liability for Employment Outcomes: We are not liable for any employment decisions, terminations, workplace conditions, compensation disputes, or any other employment-related matters.
  • No Liability for Verification Results: We are not responsible for the accuracy of third-party background verification reports or any decisions made based on such reports.
  • No Liability for Assessment Outcomes: Skill assessment scores and badges are informational only. We are not liable for any hiring decisions made based on assessment results.
  • General Limitation: In no event shall Talgrid Tech Private Limited, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from your access to or use of or inability to access or use the Service.

11. Indemnification

You agree to defend, indemnify, and hold harmless Talgrid Tech Private Limited and its officers, directors, employees, and agents from and against any claims, damages, obligations, losses, liabilities, costs, or expenses arising from:

  • Your use of the Service
  • Your violation of these Terms
  • Your interactions with other users (Candidates or Employers)
  • Any content you submit or share through the Service
  • Any misrepresentation in your profile or during assessments

12. Governing Law

These Terms shall be governed and construed in accordance with the laws of India, without regard to its conflict of law provisions. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. The courts located in Bengaluru, Karnataka shall have exclusive jurisdiction over any disputes arising out of or relating to these Terms.
